Introduction
Welcome to Prime Labs. By accessing our website or engaging our services, you agree to be bound by the following Terms and Conditions. These terms are intended to establish a clear, transparent, and fair working relationship between Prime Labs and our clients. If you do not agree with these terms, please refrain from using our website or services.
Definitions
- "Prime Labs" ("we," "us," or "our") refers to Prime Labs and its affiliates.
- "Client" ("you" or "your") refers to any individual or entity engaging our services.
- "Services" refers to inventory management software and related services provided by Prime Labs, including but not limited to software licensing, implementation, support, training, and consulting services.
- "Agreement" refers to any written proposal, contract, or scope of work agreed upon between Prime Labs and the client.
Scope of Services
Prime Labs provides inventory management software and services as outlined on our website and further detailed in individual agreements with clients. Each engagement will specify the scope of work, deliverables, timelines, and fees in writing prior to commencement.
Any changes to the scope of services must be agreed upon by both parties in writing.
Client Responsibilities
Clients agree to:
- Provide accurate, complete, and timely information required for the delivery of services
- Cooperate reasonably and respond to requests necessary to progress the engagement
- Use our services for lawful and legitimate business purposes only
Delays caused by incomplete or inaccurate information may impact timelines and deliverables.
Consultation, Fees, and Payment Terms
All engagements with Prime Labs begin with an initial consultation. During this consultation, we discuss the client's objectives, scope of work, timelines, and expectations.
Following the consultation:
- Fees, deliverables, timelines, and payment structure will be outlined in an individual written agreement specific to the client.
- No work will begin until both parties agree to the terms outlined in that agreement.
- Full payment upon completion of the agreed-upon services; All invoices, unless otherwise stated, are payable within 30 days of the invoice date.
Refund & Client Satisfaction
Prime Labs aims to maintain a fair, transparent, and client-focused engagement process.
- If a client has paid an initial deposit and is not satisfied after work has commenced, they may request a review of the engagement prior to final delivery.
- Refunds, if applicable, will be assessed on a case-by-case basis, taking into account work completed, time invested, and resources allocated.
- Any refund terms will align with what is outlined in the individual agreement agreed upon after the consultation.
Our priority is to address concerns professionally and work collaboratively toward a resolution that is reasonable for both parties.
Confidentiality
Both Prime Labs and the client agree to keep confidential any non-public, proprietary, or sensitive information disclosed during the course of the engagement. This obligation applies during and after the termination of services, except where disclosure is required by law.
Intellectual Property
Unless otherwise agreed in writing:
- All final deliverables provided to the client upon full payment become the client's property.
- Prime Labs retains ownership of the Prime Inventory software and all related intellectual property.
- Prime Labs retains the right to use non-confidential, anonymized work samples for portfolio or marketing purposes.
Limitation of Liability
While Prime Labs strives to deliver high-quality, professional services, we do not guarantee specific business outcomes. To the fullest extent permitted by law, Prime Labs shall not be liable for any indirect, incidental, consequential, or special damages arising from the use of our services.
Our total liability, if any, shall not exceed the total fees paid for the specific service giving rise to the claim.
Termination
Either party may terminate an engagement with written notice. Upon termination:
- The client will pay for services rendered up to the termination date
- Any applicable refund will be handled in accordance with the Refund & Satisfaction Policy
Changes to Terms
Prime Labs reserves the right to update or modify these Terms and Conditions at any time. Updated terms will be posted on this page, and continued use of our services constitutes acceptance of those changes.
Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of Ontario, Canada, without regard to conflict of law principles.
